These terms apply to visitors of the Website (or websites) and users who register for the Services and are legally binding. By accepting these terms and/or using the Services, the user declares to adhere to them. If you do not wish to accept these terms, you must not use the Services.

Access to and use of targetmotivation.it are activities governed by the Terms of Use (“Terms”). Access to and use of the websites therefore presupposes reading, knowledge and acceptance of these Terms.

The services requested on the websites are provided directly by Target Motivation with registered office in Mestre, Venice, in via Torino 151/E, 30172.

Target Motivation may amend or simply update these Terms of Use, either in whole or in part. Changes and updates to the Terms of Use shall be notified to users on the Home Page of targetmotivation.it as soon as they are adopted and will be binding as soon as they are published on the website in this same section.

By accessing this website, you (the “user” or “you”) declare to have read, understood and accepted (1) to be bound by the following terms and conditions (“Agreement”) which also establish the terms of use as a registered user of our (“Services”); (2) to be entitled and have the capacity to comply with this Agreement; and (3) to agree to comply with all the applicable laws and regulations concerning access and use of the websites.

Art. 1 – Access and use

The user may access the services free of charge directly from the website.

The Services cannot be accessed or used for illegal or unauthorised purposes. International users agree to comply with all local laws on privacy and personal data protection, online conduct and the lawfulness of contents.

It is prohibited to unlawfully modify, adapt or insert oneself into the websites or modify another website, making that website falsely appear to be associated with the targetmotivation.it website.

It is prohibited to transmit any worms or viruses or any codes of a destructive nature.

It is prohibited to violate the laws of one’s own legal system (including, but not limited to, copyright laws).

Art. 2 – Ownership, proprietary information

All information and materials appearing as part of the website (including texts, graphics, images, illustrations, drawings, icons, photos, video clips, audio clips, interfaces, software, logos, titles and names (and collectively, “intellectual property”) are the property of Target Motivation Srl and are governed by this Agreement.

The websites in their entirety and all that which is the subject of intellectual property are protected by laws on copyright, distinctive signs and trademarks in force in Italy, as well as by the laws of the European Union, international treaties and conventions, and by the laws of other countries, where applicable.

Except for information which is in the public domain, or for which use has been authorised in writing by Target Motivation S.r.l., you may not use, reproduce, copy, modify, publish, transmit, distribute, execute, view, download, license, insert in a database, use to create derived works, reverse engineer, transfer or sell all that which is the subject of intellectual property, information, software or products obtained from or through this website, either in whole or in part.

b) Linked contents

Third-party contents that you link or refer to when inserting contents in the websites, belong to the third parties themselves.

Target Motivation respects the intellectual property rights of third parties. By submitting any material or photos through the Websites, (1), you grant permission for publication on the websites, and (2) you represent that you are the rightful owner of the sent material and that no other person or legal entity may claim rights to said material.

Target Motivation reserves the right to remove access to infringing material.

Art. 3. – Limitations of use

A non-exclusive licence to display content on the websites is deemed granted, but only while accessing the Websites themselves. Except to the extent necessary for the limited purpose of reviewing the material on the websites, its electronic reproduction, adaptation, distribution, execution or display is prohibited. The commercial use of any content for profit-making purposes is strictly prohibited. The use of any of our brands as a metatag on other websites is strictly prohibited.

It is prohibited to use any automatic or manual practice, device, process, software, program, algorithm, methodology or routine, including therein but not limited to “robots”, “spiders” or other similar processes or functions to interfere or attempt to interfere with, or impose an unreasonable burden on, the operation of the websites.

Permission to use the Services is understood to be automatically revoked in the event any of the terms and conditions of this agreement are breached.

You are authorised only to visit, view and retain a copy of the pages of the websites for your personal use and you undertake not to duplicate, download, publish, modify, or otherwise distribute the material of the websites for any commercial use or for any other purpose other than that described in this Agreement. You also agree not to deep-link the websites for any purpose unless specifically authorised by Target Motivation.

Art. 4 – Limitation of Liability

Target Motivation is in no way liable for the accuracy of the information provided by Users to the websites. Use of the websites is entirely at the user’s own risk. The website services are provided without any guarantee, either explicit or implicit. Target Motivation declines all liability for any direct and/or indirect damage, loss or loss of earnings not due to its own fault suffered by the user or any third parties in relation to use of the Websites or the information contained therein, including but not limited to, financial loss, loss or corruption of data, loss of benefits or loss of interest. Target Motivation's liability for loss and/or damage suffered by the user due to the content of the websites or otherwise in connection with the websites shall be limited to the removal from the websites of the content or material causing said loss and/or damage, within a reasonable period of time. There is a possibility of hackers breaking in to the Websites, modifying their content and integrating them with material harmful to said websites, such as viruses, trojan horses, worms, time bombs, cancelboots, corrupt files or any other type of destructive software that may damage the IT equipment or property of others. In such case, Target Motivation shall not be liable under any circumstances for damage, loss or modifications caused by these to the user or third parties. If circumstances permit, Target Motivation shall warn users of the interruption to the normal operation of the Websites and their services. Target Motivation shall not be liable under any circumstances if the user attempts to connect to the Websites and using a computer or programs that are obsolete with respect to those normally used for Internet connection. Target Motivation shall not be liable under any circumstances for damage and prejudices of any kind caused by the lack of continuity, availability, reliability, usability of the Websites, and, in particular, by way of example and not limited to, errors in accessing them. Target Motivation shall not be liable for the speed and reliability of the user’s access to the Internet or any other type of communication network. Target Motivation shall not be liable for loss or any other circumstance arising from misappropriation, theft or use of any user identification data (username and password) relating to the Websites and access to the programs and databases contained in the reserved area of the websites. The user shall be responsible for keeping their identification data relating to the Websites and access to the reserved area confidential.

Art. 5 – Amendments to this agreement

Target Motivation reserves the right, at its sole discretion, to modify, suspend or terminate this Agreement, the Services and the Websites and/or any part thereof, and/or your account and your password at any time for any reason, with reasonable notice. Please consult this Agreement regularly for changes. Continuous use of the Websites by the user entails acceptance of the Agreement and binds the latter to the relative amendments in full and absolute terms. If, at any time, the user deems not to accept these changes, they must immediately stop using the Services.

Art. 6 – Amendment/discontinuance

In the event the user’s access to the Services is terminated, the User shall still be bound by the obligations resulting from this Agreement and any additional terms and conditions, including any guarantees provided by the User and any exclusions and limitations of liability. Moreover, Target Motivation is not liable towards the user or third parties for any cessation of access by the user. The user may, however, withdraw from this Agreement at any time, cancelling their subscription to the Services, subject to the above.

Art. 7 – General provisions

This Agreement, the rights and obligations of users and of Target Motivation, and all actions under this Agreement shall be governed by Italian law. All disputes arising between the user and Target Motivation shall be devolved to the exclusive jurisdiction of the Court of Venice, without prejudice to any different allocation of jurisdiction provided for by law in favour of the user.

The use of our Services is not authorised in jurisdictions that do not recognise the validity of all the provisions of these terms and conditions, including, without limitation, this paragraph. In the event of any legal action to enforce or interpret the terms of this Agreement, the prevailing party shall be entitled to recover from the losing party the legal costs incurred.

This Agreement or the use of our Services does not give rise to any joint venture, partnership, employment or agency relationship between the user and ourselves.

In the event of the invalidity or unenforceability at law of any provisions of this Agreement, including but not limited to, the warranty disclaimers and limitations of liability set forth above, the remaining provisions shall continue in full force and effect and the invalid and/or unenforceable provision shall be deemed superseded by the valid and enforceable provision that most closely corresponds to the ratio and the spirit of the original provision.

The fulfilment of this Agreement on our part is subject to existing laws and procedures and nothing contained in this Agreement restricts our right to comply with the demands or requests arising from the application of such laws.
